2.2 Interpretation

The following definitions apply throughout these Terms:

Agreement — any contract or understanding, express or implied, between the Company and the Customer.
Business Day — a day other than a Saturday, Sunday or UK public holiday, when banks in London are open.
Contract — the legally binding agreement formed between the Company and the Customer upon acceptance of an Order.

Customer — the individual or entity purchasing Goods.
Goods — the products listed in your Order.
Order — a purchase request submitted by the Customer through the website.

2.3 Basis of contract

2.3.1 These Terms exclusively govern the Contract. No other terms apply unless expressly agreed in writing.

2.3.2 By placing an Order, the Customer makes an offer to purchase Goods. The Customer is responsible for ensuring the accuracy and completeness of their Order.

2.3.3 A Contract is formed only when the Company issues written confirmation of the Order. Until then, the Company may refuse any Order at its discretion.

2.3.4 Any quotations provided are invitations to treat and do not constitute offers.

2.3.5 The website is intended for adults. By placing an Order, you warrant that you are legally capable of entering into binding contracts. Jaede is under no obligation to verify the accuracy of information provided in Orders.

2.4 Supply of goods

2.4.1 Goods are described on the website.

2.4.2 We may update, improve or modify product details when necessary. Images on the website are illustrative; slight variations in colour, texture or detail may occur.

2.4.3 If you wish to amend your Order, contact us promptly. Changes may only be possible if the Goods have not yet been shipped. If changes are not possible or not acceptable to you, you may end the Contract in accordance with these Terms.

2.5 Delivery

2.5.1 Estimated delivery timelines will be provided during checkout. All delivery dates are approximate; time is not of the essence.

2.5.2 Goods will be delivered to the shipping address provided in the Order.

2.5.3 Delivery is complete once Goods arrive at the delivery location.

2.5.4 Delivery costs are displayed at checkout.

2.5.5 We are not responsible for delays caused by events outside our control. If such delay occurs, we will contact you and take reasonable steps to minimise disruption. If the delay is substantial, you may cancel your Order and receive a refund for undelivered Goods.

2.5.6 If we fail to deliver the Goods, our liability is limited to the reasonable cost of obtaining replacement goods, minus the price of the original Goods.

2.5.7 If the Customer fails to accept delivery within three Business Days of notification: (a) delivery shall be deemed completed at 9:00 a.m. on the third Business Day; and (b) we may charge reasonable storage and insurance fees.

2.5.8 After ten Business Days of non-collection, we may resell or dispose of the Goods and deduct costs before refunding or charging the Customer accordingly.

2.6 Quality

2.6.1 We warrant that Goods will: (a) materially conform with their description; (b) be of satisfactory quality under the Consumer Rights Act 2015.

2.6.2 If Goods do not meet this warranty and you notify us promptly in writing, we will inspect the Goods and, if appropriate, repair, replace, or refund them.

2.6.3 We are not liable for defects arising from: (a) continued use after reporting the issue; (b) improper storage or misuse; (c) customer-provided designs or specifications; (d) unauthorised repairs or alterations; (e) fair wear and tear, negligence or abnormal conditions; (f) changes required for legal compliance.

2.6.4 Except as set out in this clause, we are not liable for non-compliance with the warranty.

2.6.5 Statutory warranties under the Sale of Goods Act 1979 (sections 13–15) are excluded to the maximum extent permitted.

2.6.6 These Terms apply equally to repaired or replacement Goods.

2.7 Title and risk

2.7.1 Risk passes to you upon delivery.

2.7.2 Title transfers only when full payment is received.

2.8 Price and payment

2.8.1 Prices are listed at checkout or on our published price list. Prices may vary depending on location, taxes or promotional discounts.

2.9 Limitation of liability

2.9.1 Nothing excludes liability for: (a) death or personal injury due to negligence; (b) fraud; (c) title under the Sale of Goods Act 1979; (d) defective products under the Consumer Protection Act 1987; (e) any liability that cannot legally be limited.

2.9.2 Subject to the above: (a) We are not liable for indirect or consequential loss, including lost profits. (b) Our total liability shall not exceed the price of the Goods.

2.10 Your rights to end the contract

2.10.1 Your rights depend on the Goods purchased and the circumstances: (a) Faulty goods — you may be entitled to a repair, replacement or refund. (b) Ending due to our actions — see clause 2.10.2. (c) Change of mind — you may cancel within 14 days under the Consumer Contracts Regulations. (d) Other cases — contact Customer Care.

2.10.2 You may end the Contract if: (a) we make changes you do not agree to; (b) pricing or description errors occur; (c) we face significant delays beyond our control; (d) we otherwise breach the Contract.

2.10.3 Consumers have 14 days to change their mind.

2.10.4 You cannot cancel if the Goods: (a) are unsealed for hygiene reasons (including intimates and underwear); (b) contain sealed media opened post-delivery; (c) are inseparably mixed with other items.

2.10.5 The cancellation period ends 14 days after receipt of the final item.

2.10.6 Beyond statutory rights, we may, at our discretion, offer exchanges within 30 days with valid proof of purchase. Personalised items may be excluded.

2.11 General

2.11.1 Assignment. (a) We may transfer or subcontract rights. (b) You may not assign rights without our written consent.

2.11.2 Entire Agreement. These Terms supersede all prior agreements.

2.11.3 Variations must be in writing.

It sets out the steps we take to prevent modern slavery and human trafficking in our business and supply chains.

5.1 Our commitment

Modern slavery — including forced labour, child labour, debt bondage and human trafficking — has no place in our supply chain or in any business associated with Jaede. We are committed to acting ethically and with integrity in all our commercial relationships, and to ensuring the people who make our products are treated with dignity, fairness and respect.

5.2 About Jaede

Jaede is an independent British luxury label, operated by Jaded Limited (registered in England and Wales, Company No. 14319068). We design ready-to-wear and intimates in London and produce all goods in Portugal. We sell direct to consumers via our website and, where appropriate, through carefully selected stockists.

We are a small business and currently fall below the £36 million turnover threshold that would require us to publish a statement under the Modern Slavery Act 2015. We publish this statement voluntarily because we believe transparency and accountability should not depend on legal obligation.

5.3 Our supply chain

Our supply chain is intentionally compact. Every Jaede garment is manufactured in Portugal, a country with strong labour protections, established workers' rights frameworks and a long heritage of ethical garment manufacturing within the European Union.

Our supply chain consists of:

  • A small number of carefully selected Portuguese garment manufacturers, all operating under EU labour law

  • Fabric mills and textile producers, primarily based in Portugal and the wider European Union

  • UK-based logistics and warehousing partners

  • Standard commercial service providers (payment processing, hosting, customer support tools)

We do not source garments or components from regions identified as high-risk for modern slavery by the UN Global Compact, Walk Free Global Slavery Index or UK Foreign, Commonwealth and Development Office advisories.

5.4 Our policies

All Jaede production partners are expected to comply with our core principles:

  • Ethical trade — compliance with the Ethical Trading Initiative (ETI) Base Code, local labour laws and international human-rights standards, defaulting to the highest level of worker protection

  • No forced or compulsory labour — workers are employed of their own free will, hold their own identity documents, and may leave their employment with reasonable notice

  • No child labour — strict prohibition of any worker below the legal minimum working age in their jurisdiction, with additional protections for young workers

  • Freedom of association — workers have the right to join trade unions and engage in collective bargaining

  • Safe working conditions — manufacturing facilities meet health, safety and welfare standards required by EU law

  • Fair wages and reasonable working hours — workers are paid at least the legal minimum wage and statutory benefits, with overtime properly compensated

5.5 Due diligence

Before commencing production with any new partner, we undertake reasonable due diligence including:

  • Verifying legal registration and operating status

  • Reviewing applicable certifications (OEKO-TEX, SEDEX/SMETA audits where held)

  • Discussing labour practices and working conditions directly with factory management

  • Where possible, visiting production facilities in person

We maintain ongoing dialogue with our partners throughout each production cycle and revisit our assessment annually.

5.6 Risk assessment

We assess modern-slavery risk in our supply chain as low, on the basis of:

  • All garment production takes place within the European Union, where labour standards are regulated by EU and Portuguese law

  • Our supply chain is short and our list of partners is small, allowing direct oversight

  • Our partners hold recognised industry certifications addressing worker welfare

  • We do not source from high-risk jurisdictions

We recognise that "low" does not mean "no risk", and we remain alert to emerging concerns.

5.7 Training and awareness

We commit to ensuring that anyone involved in sourcing, production or supplier relations at Jaede understands the principles set out in this statement. As the business grows, we will introduce formal training for relevant staff and require equivalent training within our supplier base.

5.8 Reporting concerns

If you become aware of any concern relating to modern slavery, forced labour or human trafficking in connection with Jaede or our supply chain, we want to know.

5.9 Review

This statement is reviewed and updated annually, or sooner if our supply chain or operations change materially.
